Terms of Use

Agreement and Acceptance

By purchasing, downloading, installing, or using Ember, you agree to these Terms of Use. If you do not agree, do not use Ember.

Ember is a desktop application for professional subtitle creation with DaVinci Resolve integration. It is sold as a digital subscription product through Polar, our merchant of record.

You must be at least 18 years old or the age of legal majority in your jurisdiction to use Ember. By using Ember, you represent that you meet this requirement.

License Grant

Subject to your compliance with these terms and payment of applicable fees, Ember grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Ember desktop application during your active subscription term.

  • Ember is licensed, not sold. You do not acquire ownership of the software.
  • Your license is personal to you. It may not be sublicensed, transferred, or shared.
  • The license may be revoked for breach of these terms, non-payment, or as described in the Termination section.
  • Upon termination of your license, you must stop using Ember and delete all copies. Content you created with Ember remains yours.

Digital Delivery and Compatibility

Ember is delivered digitally. After checkout is completed and payment is confirmed by Polar, access is provided through your license, account, download access, subscription status, and available credit balance.

Timeline-linked workflows depend on a supported local DaVinci Resolve installation, the local Resolve API, your operating system, and your project setup. Ember requires the latest Ember-supported version of DaVinci Resolve for Resolve-connected features. DaVinci Resolve Studio is not required for Ember unless your own Resolve workflow separately relies on Studio-only Resolve features.

You are responsible for reviewing Ember's compatibility information and testing Ember with your own device, Resolve version, media, codecs, workflow, and delivery requirements before relying on it for paid or time-sensitive work.

  • File export workflows can be used without an active Resolve session.
  • Resolve-connected workflows require Resolve to be installed, supported, and running when those features are used.
  • Changes to DaVinci Resolve, operating systems, drivers, AI providers, or project media can affect availability or results.

Intellectual Property

Ember, including its source code, design, documentation, trademarks, and all related materials, is the intellectual property of Ember and its licensors. All rights not expressly granted to you are reserved.

You retain full ownership of the content you create, edit, or process using Ember. Ember claims no rights to your subtitles, projects, media files, or creative output.

  • Do not reverse-engineer, decompile, or disassemble the Ember software.
  • Do not remove or alter any proprietary notices in the software.
  • Feedback you provide about Ember may be used to improve the product without obligation to you.

Subscriptions, Credits, Auto-Renewal, and Cancellation

Ember is sold on a subscription basis. Plans may include a monthly credit allowance for AI processing, and additional credits may be available separately.

All payments are processed by Polar, our merchant of record. Polar handles billing, VAT and sales tax, invoicing, and payment compliance.

Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. You authorize Polar to charge the payment method presented at checkout for each renewal at the then-current price shown for your plan.

You can cancel your subscription through the Polar customer portal or by contacting support. Cancellation stops future renewals, but it does not cancel, reverse, or refund the current billing period unless required by applicable law or explicitly approved by Polar as merchant of record.

  • Pricing, credits, and plan details are shown on the checkout page at time of purchase.
  • Subscriptions auto-renew at the then-current rate. Cancel before renewal to avoid being charged.
  • Unused credits may expire at the end of your billing period depending on your plan.
  • Additional credit purchases are delivered digitally after checkout confirmation and are non-refundable except where required by applicable law or explicitly approved by Polar.
  • Polar issues all invoices. Ember does not invoice buyers directly.

No-Refund Policy

Ember is a digital subscription product with immediate access after purchase. Except where required by applicable law or explicitly approved by Polar as merchant of record, subscription charges, renewals, current billing periods, and credit top-ups are non-refundable.

If you cancel, you keep access until the end of the period already paid for, and future renewal charges stop. The remaining time in the current billing period is not refunded unless required by applicable law or explicitly approved by Polar.

If you believe a charge was made in error, contact support with the purchase email, invoice or order identifier, charge date, and amount so the billing record can be reviewed.

Acceptable Use

Use Ember for lawful purposes only. You are responsible for ensuring your use complies with all applicable laws and regulations.

You are solely responsible for reviewing all output, including subtitles, timing, translations, speaker labels, edits, formatting, and exports, before delivery or publication. AI-generated content may contain errors, omissions, mistranslations, timing issues, or unsuitable phrasing.

You are responsible for ensuring you have the rights and, where required, consent from speakers, performers, clients, or rights holders before submitting audio, video, transcripts, subtitles, or prompts for processing.

  • Do not bypass licensing, usage limits, rate limits, or access controls.
  • Do not share, resell, rent, sublicense, or transfer your license except where your plan expressly allows it.
  • Do not submit content you lack the right to process.
  • Do not use Ember to generate content that is unlawful, harmful, or infringes on third-party rights.
  • Do not interfere with Ember’s services or attempt unauthorized access.
  • Do not use automated tools to access Ember beyond normal usage.

Beta Status, Updates, and Third-Party Dependencies

Ember is currently in beta. Features may change, fail, or be discontinued, and AI-generated subtitles, translations, and edits must be reviewed before professional delivery.

Ember may release updates, bug fixes, and feature changes. Some workflows depend on third-party software including DaVinci Resolve, operating system services, drivers, codecs, and AI processing providers.

Changes to Ember or its dependencies may affect feature behavior and availability. Ember does not guarantee uninterrupted access to any specific feature or integration.

  • An active subscription may be required for downloads and updates.
  • Third-party tools are subject to their own terms and availability.
  • Ember may modify, add, or remove features with reasonable notice.

Warranty Disclaimer

Ember is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by applicable law, Ember disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Ember does not warrant that the software will be error-free, uninterrupted, secure, or meet your specific requirements. AI-powered features may produce inaccurate, incomplete, or unsuitable results.

Nothing in this section affects mandatory consumer rights under applicable law, including EU consumer protection regulations.

Limitation of Liability

To the fullest extent permitted by applicable law, Ember’s total aggregate liability for all claims arising from or related to these terms or the use of Ember shall not exceed the total amounts you paid to Ember through Polar in the twelve (12) months immediately preceding the event giving rise to the claim.

To the fullest extent permitted by applicable law, Ember shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, business opportunities, or goodwill, regardless of the cause of action or theory of liability, even if Ember has been advised of the possibility of such damages.

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless Ember, its affiliates, officers, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

  • Your use of Ember in violation of these terms or applicable law.
  • Content you create, process, or distribute using Ember.
  • Your violation of any third-party rights, including intellectual property rights.

Termination and Suspension

You may cancel your subscription at any time through the Polar customer portal or by contacting support. Cancellation stops future renewal but does not refund the current billing period.

Ember may suspend or terminate your access without prior notice for breach of these terms, non-payment, suspected fraud or abuse, license sharing, attempts to bypass billing or usage limits, payment misuse, or unlawful activity. Ember may also discontinue the service with reasonable advance notice.

If access is suspended or terminated for abuse, fraud, non-payment, or license misuse, Ember may revoke the affected account access, download access, and unused credits to the extent permitted by applicable law.

Upon termination, your license ends immediately. You must stop using Ember and delete all copies from your devices. Content you created with Ember remains yours.

Provisions that by their nature survive termination — including Intellectual Property, Warranty Disclaimer, Limitation of Liability, Indemnification, and Governing Law — will survive the termination of these terms.

Governing Law and Jurisdiction

These terms are governed by and construed in accordance with the laws of Romania and applicable European Union law.

Any disputes arising from these terms or your use of Ember shall be subject to the exclusive jurisdiction of the competent courts of Romania.

If you are an EU consumer, nothing in this section limits your rights under the mandatory consumer protection laws of your country of residence.

General Provisions

If any provision of these terms is found to be unenforceable, the remaining provisions remain in full effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

These terms, together with any checkout and billing terms presented by Polar at purchase time, constitute the entire agreement between you and Ember regarding the subject matter herein and supersede all prior agreements and understandings.

Ember’s failure to enforce any right or provision of these terms does not constitute a waiver of that right or provision.

Ember may assign these terms without restriction. You may not assign your rights or obligations without prior written consent from Ember.

Changes to These Terms

Ember may update these terms from time to time. Material changes will be communicated via the Ember website or by email where practicable.

Continued use of Ember after changes take effect constitutes acceptance of the updated terms. If you do not agree with the changes, stop using Ember and cancel your subscription.
